Introduction and Definitions

Party: Refers to either Xlntly Corp. or the Freelance Property Lead Consultant participating in this Agreement.


Submission Form: Refers to the online form used by the Freelance Property Lead ConsultantFreelance Property Lead Consultant to submit property leads to Xlntly Corp.

Purpose of the Contract
This Agreement outlines the terms and conditions under which the Freelance Property Lead Consultant will submit property leads to Xlntly Corp. for consideration under its Freelance Property Lead Consultant.

Scope of Work
The Freelance Property Lead Consultant is expected to identify and submit leads for potential property acquisitions to Xlntly Corp.

Submission Requirements
The Freelance Property Lead Consultant agrees to complete all fields of the Submission Form as accurately as possible. Incomplete or inaccurate submissions may not be considered for compensation.

Compensation
The Freelance Property Lead Consultant will be compensated 2% of Xlntly Corp.'s net profit on any deal completed as a result of the provided lead, up to a maximum of $5,000 CAD.

Bonuses
Xlntly Corp. reserves the right to compensate the Freelance Property Lead Consultant with additional bonuses on a case-by-case basis.

Exclusivity and Non-Compete
This Agreement does not create an exclusive employment relationship between the Parties. The Freelance Property Lead Consultant is free to provide similar services to other parties, provided that any property leads submitted to XLNTLY Corp under this Agreement are exclusive to XLNTLY Corp and shall not be submitted to any other party without the written consent of XLNTLY Corp.

Intellectual Property Rights
All leads and related data submitted become the property of Xlntly Corp.

Confidentiality
The Freelance Property Lead Consultant agrees to keep all information regarding their submissions and any subsequent transactions confidential.

Unauthorized Disclosure of Information
In the event that the Freelance Property Lead Consultant appears to have disclosed or threatens to disclose information in violation of this Agreement, Xlntly Corp. shall be entitled to seek an injunction to restrain such actions. This injunction can prohibit the Freelance Property Lead Consultant from disclosing information in whole or in part and from providing services to any party to whom such information has been or may be disclosed. This provision is not exclusive to Xlntly Corp., and the Freelance Property Lead Consultant may use the confidential information under identical agreement with any other third party up to the point where Xlntly Corp. has finalized its own financial transaction. Xlntly Corp. shall not be prohibited by this provision from pursuing other remedies, including claims for losses and damages.

Confidentiality After Termination
The confidentiality provisions of this Agreement shall remain in full force and effect even after the termination of this Agreement.

Notices
All notices required or permitted under this Agreement to the Freelance Property Lead Consultant shall be in writing and sent to the email provided in the Submission Form. Notices shall be deemed delivered upon sending.

Liability and Indemnification
Neither Party shall be liable to the other for any damages, losses or liabilities incurred while performing duties under this Agreement.

Termination Conditions
Either Party may terminate this Agreement at any time with written notice.

Amendments and Additions
Changes to this Agreement must be in writing and signed (or otherwise agreed upon) by both Parties.

Dispute Resolution
Any disputes arising from this Agreement will be resolved through arbitration under the laws of the Province of Ontario.

Governing Law
This Agreement is governed by the laws of the Province of Ontario, Canada.

Information Provision Upon Acceptance
Upon acceptance into the Freelance Property Lead Consultant Program, the Freelance Property Lead Consultant agrees to promptly provide XLNTLY Corp. with the following information or as subsequently requested by XLNTLY Corp:

Social Insurance Number (SIN)
Date of Birth
Contact Information including address, phone number, and email
Bank Account Details or Payment Information
Tax Status and GST/HST Number, if applicable
Proof of Eligibility to Work in Canada
Signed Contracts and Agreements
Photo Identification
Background Check
Proof of Professional Insurance
Portfolio or Resume
Professional References
Emergency Contact Information
Failure to provide the requested information in a timely manner may result in termination of this Agreement and forfeiture of any pending compensation.

Agreement to Terms
By checking the checkbox labelled "I Agree," you, the Freelance Property Lead Consultant, indicate that you have read, understood, and agree to the Terms and Conditions outlined above.
